الالتزامات الناشئة عن الترخيص باستغلال العلامة التجارية على ضوء القانون الجزائري

الملخص
مـلخـص: تتناول هذه الدراسة بيان أحد الجوانب المهمة لعقد الترخيص باستغلال العلامة التجارة، والمتمثل فيما يرتبه هذا العقد من التزامات؛ سواء بالنسبة لمالك العلامة (المرخِص)، أو المرخًص له باستغلالها، وذلك من خلال ما جاء في القانون الجزائري، وخاصة الأمر رقم 03- 06، حيث تم التطرق لبيان الالتزامات التي ينشئها هذا العقد على عاتق المرخِص، ثم ما يقابل ذلك من التزامات تقع على عاتق المرخَص له؛ سواء كانت هذه الالتزامات مما تقتضيها طبيعة العقد أو كانت من اشتراطات أحد الطرفين على الآخر، وسواء نشأت عند تنفيذ العقد أو بعد انقضائه، وبعد تفصيل تلك الالتزامات توصلنا إلى أن بعضها يخضع للقواعد العامة لسائر العقود، والبعض الآخر يخضع لقواعد خاصة تفرضها الطبيعة الخاصة لعقد الترخيص، وأن القانون الجزائري لم يفصل في تلك الالتزامات الخاصة، ولم يوضح مجال تطبيق القواعد العامة والقواعد الخاصة. Abstract: This study examines a pivotal aspect of the trademark exploitation license contract, specifically focusing on the reciprocal obligations it generates for both the trademark owner (the Licensor) and the party authorized to exploit it (the Licensee). This analysis is conducted through the lens of Algerian law, with particular emphasis on Legislative Ordinance No. 03-06. The paper addresses the obligations imposed by this contract upon the Licensor, followed by the corresponding duties incumbent upon the Licensee. These obligations are explored whether they are inherent to the nature of the contract or arise from mutual stipulations between the contracting parties, and whether they manifest during the execution of the contract or subsequent to its expiration. Upon a detailed examination of these obligations, the study concludes that while some are governed by the general rules of standard contract law, others are subject to specialized rules necessitated by the distinct nature of licensing agreements. Furthermore, the study reveals that Algerian legislation has neither elaborated on these specialized obligations nor clarified the distinct scopes of application between general provisions and special rules.
