عن خصوصية عقد نقل المعرفة الفنية في السوق

الملخص
ساهمت التحولات الاقتصادية التي طرأت على بيئة الأعمال في افراز جملة من الآليات التعاقدية الحديثة مواكبة لها ولمنطق ولغة السوق، ويأتي في مقدمتها عقد نقل المعرفة الفنية، الذي يعتبر احدى عقود الأعمال الناقلة للتكنولوجيا، كونه يلعب دورا أساسيا في خلق التنافس في الأسواق يهدف إلى تحقيق التفوق التكنولوجي والاقتصادي، والحامل في طيته لعنصر جوهري يصطلح عليه بالمعرفة الفنية، والتي هي مجرد مال معنوي حسي قابل للنقل والتطبيق تشمل على جملة من التطبيقات الصناعية والمهارات التقنية والأساليب السرية في التصنيع والإنتاج والمكتسبة بالتجربة والبحث والتطبيق. مما جعله يتميز بعدة خصوصيات تبرز في كونه عقد ذو طبيعة خاصة، هذه الطبيعة مستوحاة من معنوية محله، ومن السمات المميزة له، وحتى من حيث تمييزه عن غيره من العقود القريبة منه كعقد الفرانشيز، وعقد نقل التكنولوجيا، وتتضح أكثر فأكثر هذه الخصوصية من حيث تنفيذه أي من جملة الالتزامات الغير متقابلة والتي أفرزت معنى الفوارق والتفاوت الاقتصادي والفجوة الاقتصادية في السوق، والتبعية التكنولوجية والتقييدية والحصرية التي تسود هذه العلاقة التعاقدية بين أطرافه، وأيضا من ناحية انقضائه، بحيث يظل مستمرا في ترتيب التزاماته حتى بعد نهايته كالالتزام بالسرية وعدم المنافسة. The economic transformations witnesses in the business environment have generated new contractual mechanisms align with the market dynamic.Notably the technical know-how transfer contract, which classified as on of the technology transfer business contracts. Being fundamental in fostering market competition, it seeks to achieve a technological and economic superiority, containing a crucial element known as the technical know-how.Which constitutes a transferable, tangible intellectual asset and includes various industrial applications, technical competencies, research confidential production methods developed through experience, research and practice. This contract is marked by several characteristics closely tied to the economic activity, highlighting its nature as a special contract, which arises from the intangible character of its subject matter, its defining features and its distinction that set it apart from the other related contracts, such as the franchise contract and the technology transfer contract. This specificity is especially evident in its execution, through its non-reciprocal obligations that generate economic disparities, market gaps, the technical dependence and the exclusivity within the contractual relationship. It also reflected in the contract’s termination, as certain obligations, including the confidentiality and the non-compete, remain in effect after the contract concludes.
