Substantively, international contracts are governed under Article 18 of the Algerian Civil Code by the primary principle of party autonomy (autonomie de la volonté). Parties may designate the lex contractus, provided the chosen law maintains a genuine connection to the parties or the transaction, preventing opportunistic choices. In the absence of agreement, the adjudicator applies subsidiary connecting factors hierarchically: common domicile, common nationality, or the law of formation’s place (lex loci contractus). This study critically evaluates the functional adequacy of these factors in identifying the governing law, highlighting their doctrinal strengths and practical litigation challenges. Furthermore, it delineates the substantive scope of the law governing international contracts, identifying governed matters and mapping the legal exceptions and constraints that limit its application
