The Contractual Nature Of The Simplified Joint Stock Company: Between Breadth And Restriction: Harmony Or Contradiction

الملخص
غرار التشريعات المقارنة التي تبنت شركة المساهمة البسيطة، تبنى المشرع الجزائري هذا النموذج القانوني الحديث بمقتضى القانون رقم 22-09 الذي عدّل من خلاله و تمّم القانون التجاري، و ذلك في إطار اتجاه الدولة الجزائرية إلى تطوير الاقتصاد الوطني. و تتسم هذه الشركة بالمرونة الكبيرة و الطابع العقدي المتسع و تستجيب إلى حد كبير لفكرة الحرية العقدية في تحديد نظام و قواعد سيرها، في حين قد يتقلص هذا الطابع العقدي بالنظر إلى القيود القانونية التي من شأنها أن تعيق حرية الشركاء و تقلل من جاذبيتهم لهذا الشكل من الشركات التجارية، الأمر الذي يجعل إرادة الشركاء تتناغم مع إرادة المشرع في بعض الأحيان، و تتناقض معها في أحيان أخرى. Similar to the comparative legislation that adopted the simplified joint stock company, the Algerian legislator adopted this new legal form under Law No. 22-09 amending and supplementing the Commercial Code, within the framework of the Algerian state’s direction to develop the national economy. This company is characterized by great flexibility and a broad, contractual nature, and responds to a large extent to the idea of contractual freedom in determining the system and rules of its operation, while this contractualcharacter may diminish in view of the legal restrictions That would hinder the freedom of partners and reduce their attractiveness to this form of company. Commercial, which makes the will of the partners be in harmony with the will of the legislator at times and contradict it at other times.
