This study investigates the juridical tension emerging from the confluence of contractual nullity's retroactive effect and the exigencies of legal certainty and transactional stability. Employing an analytical methodology grounded in legislative provisions and judicial precedents, the research elucidates how general principles prescribe the retroactive dissolution of contracts, while the Algerian legislature has instituted substantive exceptions to safeguard the bona fide particular successor. In this framework, the law privileges the "apparent fact" over the "legal truth." The article delineates the statutory entrenchment of this protection across pertinent provisions—particularly those pertaining to real estate and movable property—while underscoring the judiciary's pivotal role in construing "good faith" objectively and operationalizing the "theory of appearance." Ultimately, the study posits that the principle of relativity in retroactive effect functions as a bulwark for credit and commerce. Moreover, judicial praxis affirms that the protection of third-party contractors transcends theoretical abstraction, constituting an imperative for upholding the stability of legal relations and attenuating the ripple effects of contractual nullity.
