نظرة حول خصوصيات بطلان عقد الشركة

الملخص
تتعلق هذه الورقة البحثية بخصوصية البطلان في عقد الشركة، ذلك أن الشركة ولكونها عقد تخضع كغيرها من العقود إلى جزاء البطلان في حالة تخلف ركن من أركانها، غير أنها تختلف عن غيرها، لأنه ينتج عنها شخص معنوي يدخل مع الغير في علاقات متعددة، وإن اتجاه إرادة المشرع في المحافظة عليه، حتى في الحالة التي يكون فيها العقد الذي أنشأه يعتريه خلل يعرضه للبطلان، جعله يخص بطلان عقد الشركة يخصوصيات بالمقارن بالعقود الأخرى، وهذا بالنظر إلى أسباب البطلان، والنتائج المترتبة على توقيعه. This research paper addresses the specificity of nullity in a company contract. While a company, like other contracts, is subject to the penalty of nullity if one of its essential elements is missing, it differs from other contracts because it results in the creation of a legal entity that enters into multiple relationships with third parties. The legislator’s inclination to preserve this entity, even in cases where the contract establishing it is flawed, has led to the nullity of a company contract being treated with particularities compared to other contracts. This is evident in the causes of nullity and the consequences that arise from its declaration.
