الملخص
ملخص: استحدث المشرع شركة المساهمة البسيطة بموجب القانون رقم 22-09 لتوفير الشكل القانوني الملائم للشركات التي يكون فيها المساهم متحصلا على علامة " مؤسسة ناشئة" وذلك بهدف ترقية مناخ الاستثمار في مجال المعرفة والابتكار، والتي أخضعها لتنظيم استثنائي من حيث التكوين والإدارة وتكريس الطابع التعاقدي فيها لاسيما عند تحديد الشركاء و الرأس مال...الخ، لكن رغم ذلك، تبقى بعض الملاحظات يمكن إثارتها حول تقدير مدى ملاءمة أحكام الشركة المستحدثة على المؤسسة الناشئة Abstract : The legislator established the Simplified Joint Stock Company through Law No. 22-09 in order to provide a legal form that reacts to companies whose shareholders have been marked with the "startup" label. This measure aims to favor an investment climate conducive to knowledge and innovation. The company is governed by a single legal framework and regulatory regime under exceptional statutory provisions with considerable emphasis being placed on its contractual nature—particularly in relation to partner identification, the ascertainment of capital, etc. However, in spite of the regulatory provisions, several observations have to be made regarding the extent to which the provisions of this newly formed company align with the practical and structural realities of start-ups.
