The Role Of The Principle Of Good Faith In Forming Contracts - An Analytical Legal Reading In Light Of Modern Contractual Relationships

Authors : Boudahra Kamel .

Abstract

In light of the rapid developments in contemporary contractual relations, the principle of good faith has emerged as a fundamental legal rule governing the conduct of contracting parties during the contract formation stage, while fostering trust and stability in contractual transactions. This study examines the effectiveness of this principle as a legal mechanism for regulating the parties' conduct during contract formation and identifies the appropriate legal remedies and enforcement mechanisms to ensure its effective application in addressing contemporary challenges. The study concludes that the principle of good faith has become a binding legal obligation from the very outset of contractual negotiations and that damages constitute the primary remedy for its breach, thereby maintaining a fair balance between the protection of legitimate reliance and the principle of contractual freedom. It further demonstrates the principle's adaptability to the challenges posed by digital and smart contracts.
