This study aims to explain the existence of multinational corporations and analyze their behavior and international expansion as responses to market failure. Transaction cost theory serves as the theoretical framework for examining these corporations’ decisions between contracting through the market and relying on internal organization (hierarchy) to carry out their operations. The paper adopts a deductive method, combining descriptive and analytical techniques, to explore the origins of the market failure concept and examine the historical evolution of transaction cost theory as a foundation for subsequent discussion. The study concludes that this theory, in addition to explaining the existence of multinational corporations and the drivers of their expansion, also contributes to rethinking the role of institutions and governance mechanisms in either supporting or constraining international economic activity.
