يتناول هذا البحث إشكالية العقد الإلكتروني والتوقيع الرقمي في ضوء القانون المدني المقارن، من خلال دراسة تحليلية في القوانين المصرية والسعودية والفرنسية. ويهدف إلى بيان مدى اعتراف هذه النظم القانونية بصحة التعبير عن الإرادة إلكترونيًا، ومدى حجية التوقيع الرقمي في الإثبات، في ظل التحول الرقمي المتسارع الذي تشهده المعاملات المدنية. وقد ركّز البحث على تحليل العناصر الأساسية للعقد الإلكتروني، مثل مفهومه، ووسائل التعبير عن الإرادة فيه، وإشكاليات الشكلية، والرضا، والطبيعة القانونية. كما تناول التنظيم التشريعي للتوقيع الرقمي، وبيّن شروط حجيته، والتحديات المرتبطة بإثباته. وتم دعم التحليل بدراسة مقارنة للمواقف التشريعية والتطبيقات القضائية في الدول الثلاث. وتوصل البحث إلى أن فرنسا تُعد الأكثر تطورًا من حيث إدماج هذه المفاهيم في القانون المدني، تليها السعودية التي وضعت تنظيمًا خاصًا وفعّالًا، ثم مصر التي لا تزال بحاجة إلى تكامل تشريعي وقضائي أوسع. وأوصى البحث بضرورة تعديل القوانين المدنية، وإنشاء دوائر قضائية متخصصة، وتعزيز دور الجهات التنظيمية لضمان الحماية القانونية للعقود والتوقيعات الإلكترونية. Abstract of a research This study examines the legal issues surrounding electronic contracts and digital signatures in comparative civil law, focusing on the legislative frameworks of Egypt, Saudi Arabia, and France. It aims to assess the extent to which these legal systems recognize electronic expression of will and the evidentiary value of digital signatures within the context of rapidly evolving digital transactions. The research analyzes the fundamental elements of the electronic contract, including its legal concept, methods of expressing consent, formality issues, and legal nature. It also explores the legislative regulation of digital signatures, the conditions for their validity, and the evidentiary challenges they pose. A comparative approach was adopted to highlight differences and commonalities in judicial and legislative practices across the three jurisdictions. The study concludes that France represents the most advanced model in integrating digital contracting within its civil code, followed by Saudi Arabia with a comprehensive regulatory framework, while Egypt still requires broader legislative and judicial development. The research recommends updating civil law provisions, establishing specialized digital courts, and empowering regulatory authorities to ensure full legal protection of electronic contracts and digital signatures.
