Judicial settlement is a legal mechanism granted by the legislator to a non-bankrupt debtor merchant, enabling them to continue managing their commercial enterprise under the supervision of the judicial administrator, in a manner that balances the debtor’s interests with those of their creditors. The settlement follows specific stages, beginning with the submission of a settlement proposal, followed by the creditors’ vote, and concluding with approval by the competent commercial court. The outcome is either court approval—allowing the merchant to continue their business or rejection, which legally places the merchant in a state of bankruptcy. Therefore, judicial settlement represents the debtor’s last opportunity to save their business and avoid the legal and economic consequences of bankruptcy, making its study particularly important within commercial law and collective proceedings.
