الملخص
يتناول المقال دراسة براءة الذمة المالية الممنوحة لمديري شركة المساهمة كونه يعد من المواضيع الهامة في قانون الأعمال نظرا لارتباطه بمصلحة الشركة والمساهمين، فيتبين أن المساهمين وعلى ضوء البيانات المدرجة في تقرير التسيير يمكنهم إتخاذ قررار عن دراية لإبراء ذمم المديرين في حالة المصادقة على حسابات السنة المالية من قبل الجمعية العامة. تظهر أهمية البحث في كون موضوع براءة الذمة المالية للمديرين يثير العديد من التساؤلات لمعرفة ما إذا كانت الأحكام الحالية المنظمة لإتخاذ قرار الإبراء ، تعد كافية وكفيلة لضمان وسلامة حسن الإدارة اليومية التي يجريها المديرين، على أنه تم التوصل في النهاية على أن هناك غموض ونقائص كان على المشرع تداركها لتفادي الإشكالات التي قد تثار من الناحية العملية . تبعا لذلك، يستدعي الأمر توضيح بعض المسائل وذلك من خلال إتباع المنهج التحليلي والمقارن في هذا الشأن. This article examines the financial discharge granted to directors of joint-stock companies, as it is considered an important topic in business law due to its connection to the interests of the company and shareholders. It is evident that shareholders, based on the data included in the management report, can make an informed decision to discharge directors if the financial year's accounts are approved by the general assembly. The importance of this research lies in the fact that the issue of financial discharge for directors raises many questions regarding whether the current provisions regulating the discharge decision are sufficient and adequate to ensure the soundness and integrity of the daily management carried out by directors. However, it was ultimately concluded that there are ambiguities and shortcomings that the legislator should have addressed to avoid problems that may arise from a practical standpoint. Accordingly, it is necessary to clarify some issues by adopting an analytical and comparative approach.
