الملخص

التعسف في استعمال أموال الشركة هو تصرف غير قانوني يقوم به بعض المدراء لتحقيق مصالح غير مشروعة، مما يلحق الضرر بمصالح المساهمين والشركة ككل، اذ تتنوع صور هذا التعسف، كإبرام صفقات غير مجدية، أو إنفاق الأموال بطرق غير مبررة، ما يؤثر سلباً على استقرار الشركة المالي وقد يقودها إلى الإفلاس، وقد حاولت التشريعات، بما فيها القانون الجزائري، الحد من هذه الظاهرة عبر فرض عقوبات قانونية وتطبيق معايير الحوكمة الرشيدة لضمان الشفافية وحماية حقوق المساهمين،كما أن تعزيز الرقابة الداخلية ورفع الوعي القانوني لدى المسيرين يعدان من الإجراءات الضرورية للحد من هذه التجاوزات وضمان استدامة الشركة واستقرارها. الكلمات المفتاحية: تعسف، مدير، مسير، اموال، شركة Abstract Abuse in the use of the company's funds is an illegal behavior carried out by some managers, spending money in unjustified ways, which negatively affects the company's financial stability and may lead it to bankruptcy, and legislation, including Algerian law, has tried to reduce this phenomenon. By imposing legal sanctions and applying good governance standards to ensure transparency and protect shareholders' rights, strengthening internal control and raising legal awareness among managers are necessary measures to reduce these abuses and ensure the sustainability and stability of the company.
