الملخص
الملخص: الشركات ذات المسؤولية المحدودة من أكثر أنواع الشركات جاذبية نظرا للخصائص التي تميزها عن غيرها من الشركات، رفع رأس المال من الناحية الاقتصادية هو تعبئة لأموال وموارد جديدة من أجل تقوية المركز المالي للشركة باعتبار رأس المال الضمان العام للدائنين، كما يتيح الدخول في مشاريع واستثمارات جديدة. ومن الناحية القانونية، هو عمل قانوني لا يستطيع منفذه تحقيقه لوحده بل وجب لإنفاذه مرافقة وموافقة فنية مالية محاسبية. وقد تناول المقال بالتفصيل مفهوم رفع رأس المال ببيان تعريفه ودوافعه وشروطه والتدابير القانونية التي يجب أن تتخذها الشركة محدودة المسؤولية، وصولا إلى وسائل تنفيذ ذلك التي تعتبر عمل فني يقتضي تدخل تقني من مختص مالي محاسبي للاختيار من بين الوسائل المتوفرة أحسنها، وقد تناول المقال بالتفصيل هذه الوسائل التقنية سريعة التطور ومدى مواكبة ومرافقة الجانب القانوني لهذا التطور. Abstract: Limited liability companies (LLCs) stand out as particularly attractive business entities due to their unique attributes compared to other corporate forms. Economically, capital augmentation involves mobilizing new financial resources strengthen the company's financial position, thereby providing assurance to creditors. It also enables the company to pursue new projects and investments. Legally, capital augmentation is a juridical act that cannot be executed unilaterally; it requires the endorsement and support of technical, financial, and accounting professionals. This article provides a comprehensive exposition of capital augmentation, elucidating its definition, motivations, conditions, and the obligatory legal measures a limited liability company must undertake. Furthermore, it explores the mechanisms for implementing these measures, which demand the technical expertise of a financial accounting specialist to determine the most appropriate method from the available options. The article also thoroughly examines these rapidly evolving technical mechanisms and the extent to which legal frameworks adapt to and support this progression.
