إستحداث شركة المساهمة البسيطة في ظل قانون 22-09

الملخص
تعد شركة المساهمة البسيطة شكل جديد من أشكال الشركات التجارية التي فرضتها العديد من بساطة في التأسيس ومرونة في الإدارة؛ تم اللجوء إليها بغيت مواجهة التحديات التي كانت تواجه أصحاب رؤوس الأموال وتعيق مسارهم. ورغم أقدمية هذا النوع من الشركات في بعض التشريعات كالتشريع الفرنسي مثلا والذي كان الأسبق في تبنيها وذلك في سنة 1994، وأحدث عليها عدة تعديلات منذ صدورها، إلى أن وصلنا إلى الشكل القانوني التي هيا عليه الآن، إلا أن المشرع الجزائري لم يتبنى هذا النوع إلا مؤخرا، بصدور القانون 22-09، الذي نص صراحة على إستحداث نوع جديد من الشركات التجارية لتفادي الإشكالات التي تعترض مختلف النشاطات الإستثمارية. ومن العوائق التي تعترضها هو الإطار القانوني للشركات الذي غالباً ما يحد من مرونة التسيير وانتقال الملكية وحركة رأس المال، مما أدى بالمشرع الجزائري إلى إدخال صيغة جديدة وهي شركة المساهمة البسيطة التي تتميز بكونها أسهل وأقل تعقيدا.
