الحوكمة لتفعيل دور العمال في شركة المساهمة

الملخص

تعتبر حماية ذوي المصالح في شركة المساهمة من أهم الأسس التي تقوم عليها حوكمة الشركات، وبإعتبار العمال ذو مصلحة في شركة المساهمة والفئة الأضعف في منظومتها، سنحاول من خلال هذه الدراسة إبراز دور حوكمة الشركات في حماية مصالح العمال وتفعيل دورهم في إدارة شركة المساهمة. وذلك من خلال تحليل مبادئ حوكمة الشركات لمنظمة التعاون الاقتصادي والتنمية، ومقاربتها مع الآليات التي إعتمدها المشرع الجزائري لإشراك العامل في التسيير والإدارة. أظهرت الدراسة بعض القصور التشريعي، يستوجب التعديل قصد تعزيز دور العمال في شركة المساهمة. the protection of stakeholders in a joint-stock company is considred as one of the most significant foundations on which corporate governance is based. thought workers have an interest in a joint-stock comapny, they are the weakest category in its system. besides, we will attempt through this study to highlight the role of corporate governance in protecting workers'interests and promoting their role in managing a joint-stock company. Furthermore, through the analysis of the principles of corporate governance for the OECD and its approach with the mechanisms adopted by the Algerian legislator to involve the worker in management and administration, the study showed some legislative shortcomings, requiring amendment in order to consolidate the role of workers in the joint stock company
