فقدان التاجر لأهليته كسبب لزوال القاعدة التجارية

الملخص

إن أسباب زوال القاعدة التجارية بسبب فقدان التاجر لأهليته عديدة، فقد تعود لأسبابها ذاتية كحالة الجنون مثلا أين يصير التاجر عديم الأهلية ولا يستطيع مزاولة النشاط التجاري، وقد تعود لأسباب أو عوامل خارجية، كحالة التنافي ككونه يشغل وظيفة تمنع عليه مزاولة نشاط مربح، أو كحالة ورود شرط المنع من مزاولة النشاط التجاري في عقد الزواج مثلا، فكل هذه الأسباب وغيرها المتعلقة بأهلية التاجر التجارية من شأنها أن تؤدي إلى زوال القاعدة التجارية إذا لم يتم اتخاذ بعض الإجراءات القانونية اللاحقة لهذا التغيّر في أهليته. The causes leading to the extinction of a commercial establishment due to the trader’s loss of legal capacity are numerous. They may stem from personal factors, such as insanity, whereby the trader becomes legally incapacitated and is no longer able to carry out commercial activities. They may also arise from external reasons or factors, such as incompatibility, for instance when the trader holds a position that prohibits engaging in profit-making activities, or when a clause in a marriage contract prevents the exercise of commercial activity. All these reasons, along with others related to the trader’s commercial capacity, are likely to result in the extinction of the commercial establishment if no subsequent legal measures are taken to address this change in his capacity.
