Indemnification is predicated upon judicial discretion. However, the law permits the parties to stipulate a prior assessment of damages. Devoid of its deterrent effect, the penalty clause under Algerian civil law confronts a terminological and conceptual inconsistency, fluctuating between a private penalty and contractually agreed-upon liquidated damages. As it is directly linked to the principle of proportionality with regard to the harm sustained, and subject to judicial review, the integration of the concept of 'legitimate interest' could restore the equilibrium between the binding force of the contract and contractual stability.
