الملخص

ملخص: تبحث هذه الدراسة في أثر الدستور التونسي في تشكيل قانون الأعمال، بهدف تحليل مدى انسجام التشريعات التجارية مع المبادئ الدستورية، وذلك بمنهج وصفي تحليلي مقارن بالتجربة الفرنسية. وقد كشفت النتائج عن تأثير إيجابي للدستور في مجالي حوكمة الشركات والمصلحة الاجتماعية، مقابل قصور ملحوظ في القانون الجزائي للأعمال والدوائر التجارية، مما يضعف مبدأ الشرعية والمساواة أمام القضاء. وتبرز الأهمية العلمية في سد فجوة بحثية عربية، والأهمية التطبيقية في تقديم توصيات لإصلاح التشريع وتحسين مناخ الأعمال. الكلمات المفتاحية: الدستور التونسي؛ القانون التجاري؛ حوكمة الشركات؛ المصلحة الاجتماعية للشركة؛ شرعية الجرائم والعقوبات. Abstract:This study examines the impact of the Tunisian Constitution on the shaping of business law, aiming to analyze the extent to which commercial legislation aligns with constitutional principles. It adopts a descriptive, analytical, and comparative methodology, drawing on the French legal experience. The findings reveal a positive constitutional influence in the areas of corporate governance and corporate social interest, alongside a marked deficiency in business criminal law and commercial chambers, which undermines the principles of legality and equality before the judiciary. The study is academically significant in that it addresses a gap in Arab legal scholarship, and practically significant in that it offers recommendations for legislative reform and for improving the business environment.
