Consumer Protection From Penalty Clauses Between General Rules And Consumer Protection Regulations حماية المستهلك من الشرط الجزائي بين القواعد العامة و قواعد حماية المستهلك

Abstract

This study analyzes the regulation of penalty clauses under Articles 183–185 of the Civil Code, which treat the clause as a prior estimation of damages and relieve the creditor from proving harm. Despite its contractual nature, practice shows frequent abuse, especially in consumer adhesion contracts where penalties are imposed unilaterally and excessively. To correct this imbalance, the legislator empowered judges to adjust the clause—reducing it in cases of partial performance and exceptionally increasing it in cases of fraud or gross negligence. Consumer protection laws further classify disproportionate or one-sided penalty clauses as unfair terms, thereby reinforcing the protection of the weaker contracting party. تتناول هذه الدراسة تنظيم الشرط الجزائي في المواد 183–185 من القانون المدني، التي تعدّه تقديرًا مسبقًا للتعويض وتعفي الدائن من إثبات الضرر. ورغم طبيعته التعاقدية، أظهرت الممارسة سوء استعماله، خصوصًا في عقود الاستهلاك والإذعان حيث يُفرض الشرط بشكل أحادي ومبالغ فيه. ولتصحيح هذا الخلل، منح المشرّع القاضي سلطة تعديل الشرط الجزائي بتخفيضه عند التنفيذ الجزئي، وبزيادته استثناءً في حال الغش أو الخطأ الجسيم. كما اعتبرت قوانين حماية المستهلك الشروط الجزائية المفرطة أو الأحادية شروطًا تعسفية، تعزيزًا لحماية الطرف الضعيف.
