الشكلية في العقود التجارية وفقاً لأحكام النظام العُماني

الملخص
من المعلوم أن الشكل يعد مظهراً من مظاهر التقنية القانونية أو الآليات الفنية التي تعرف بأنها الوسيلة أو الأداة المستعملة لغاية تحقيق هدف معين، فهو العنصر الموضوعي والخارجي المكون للمحيط الذي تنمو فيه الإرادة وترتبط به، ولكن العلامة الأساسية لهذه التقنية هي الشكل أي أنها مجرد شكل لغاية تحقيق هدف معين، وفي مجال العلاقات التعاقدية يحتوي الشكل على الإرادة والحق الذاتي ويصبغ بالإطار الرسمي وبهذا فإن سقوط الشكل يسقط العقد معه. لقد أخذ المشرع العُماني بالشكلية الرسمية كأثر مباشر لانعقاد العقود وعنصر من عناصره لاستيفاء صحة العقد المبرم، وتهدف هذه الشكلية حماية أطراف العقد وتبصيرهم بأهمية العقد المراد إبرامه وخطورته وفي مقدمة هذه العقود الشكلية عقد بيع العقار، ولصحته وجب تسجيل العقد في الدائرة المخصصة لذلك كدائرة التسجيل العقاري، وكذلك ما هو متعلق بيع المركبات الذي أشترط قانون المرور العماني رقم 28/93 في المادة 3 لصحة العقد تسجيلها في دائرة المرور. Abstract: It is well known that form is an aspect of legal technology or technical mechanisms, defined as the means or tool used to achieve a specific goal. It is the objective and external element that constitutes the environment in which the will develops and is linked to it. However, the essential characteristic of this technology is form, i.e., it is merely a form for the purpose of achieving a specific goal. In the field of contractual relations, form contains the will and the subjective right and is imbued with a formal framework. Thus, the lapse of form nullifies the contract along with it. The Omani legislator has adopted formality as a direct effect of contract formation and an element of its components to ensure the validity of the concluded contract. This formality aims to protect the parties to the contract and inform them of the importance and seriousness of the contract to be concluded. Foremost among these formal contracts is the real estate sale contract. For its validity, the contract must be registered with the designated department, such as the Real Estate Registration Department. This also applies to the sale of vehicles, which Omani Traffic Law No. 28/93 stipulates in Article 3 that, for the validity of the contract, registration must be with the Traffic Department.
