TOWARDS A PROPOSED VISION FOR THE GOVERNANCE OF ISLAMIC SUKUK ABSTRACT Islamic Sukuk found its way to study and research as an alternative to traditional bonds when its aspects were discussed at the first scientific conference of Islamic economics in Makkah in 1976, then followed by multiple attempts to research until Muqarada bonds were invented in 1981 in the Kingdom of Jordan, and the Muqarada Bonds Law was issued for the purpose of reconstructing endowments lands. It was then presented to the International Islamic Fiqh Academy emanating from the Organization of Islamic Cooperation in its fourth session in Jeddah in 1988, which resulted in highlighting the legal violations in it, and developing a legally disciplined conception of it, and when the Accounting and Auditing Organization for Islamic Financial Institutions (AAOIFI) was established, it worked On the allocation of a standard called: Investment Sukuk, and this standard was issued in the year 2003. Islamic Sukuk represent documents of equal value representing common shares in certain assets that are legally permissible, issued according to Islamic financing formulas, and on the basis of participation, win and loss, and adherence to Islamic law, rules and purposes. It is one of the important Islamic finance tools to meet the requirements of Islamic financial and banking work that has imposed itself in the local and global financial markets due to its ability to harmonize between the four economic dilemmas: profitability, liquidity, safety from risks, and development. Despite the quantitative development globally in the issuance of Islamic Sukuk, the practical application reveals that many of these Sukuk issuances suffer from the attraction to traditional bonds in terms of guaranteeing the capital and return, as well as the fictitiousness of Sukuk through the issuance of Sukuk based on assets through which the assets are sold and returned in the same condition to their owners. With a greater amount, and all of this opens the door wide to the legitimate risks that represent the most important and most severe types of operational risks, and whose result in all cases will not be anything but the right and permission to war from God Almighty, and although they are legitimate risks within the operational risks, they are also affected at the same time. Other risks, whether credit or market risks, as closely related to other risks. In this context, this study, which relies on the descriptive analytical approach, comes to identify Islamic Sukuk in terms of their concept, characteristics, issuance and circulation mechanisms, as well as their governance, by identifying the concept of governance and its objectives, and its reality in Islamic Sukuk, and developing a proposed vision for Sukuk governance, especially in The fact that governance is now an important and governing element and is consistent with the provisions and purposes of Islamic Sharia. The governance of Islamic Sukuk refers to the existence of a system that governs the relations between the main parties in structuring Sukuk from the beginning of their issuance until their extinguishment, with the aim of achieving legitimate compliance, independence, justice, transparency and disclosure, integrity, accountability, and combating corruption - above all fraudulent legitimate corruption - in order to achieve their credibility legitimacy and its economic and social efficiency, and protects the rights of stakeholders in particular and society in general. Governance of Islamic Sukuk does not mean ignoring what is related to the illegal aspects. Governance requires the integration of the parties involved in the process of structuring Sukuk with the distribution of tasks, powers and responsibilities in line with clearly and specifically planned goals and roles, and the availability of the necessary controls for monitoring and follow-up to ensure compliance with the application of laws, regulations and instructions. It is not governance what we see following the licenses, the slips of the scholars, the preferred sayings, and the conclusions based on reprehensible tricks, so that many of the processes of issuing Sukuk have become a form without substance, and a burden on the Islamic economy itself, through the reputational risks arising from that. Governance of Islamic Sukuk is not an end, but a means to achieve those sukuks legitimate credibility and economic and social efficiency. The return and the preservation of the original capital. As for social efficiency, we mean the ability of these Sukuk to meet the needs of the community in accordance with the Islamic priorities of necessities, needs, and improvements. The principles of Sukuk governance can be applied through a proposed governance concept based on internal control within the issuing company, external control through the Capital Market Authority, and two financial and other legal auditors.
