تأسيس شركات المناطق الحرة في القانون الإماراتي

الملخص
تطرق هذا البحث إلى معالم النظام القانوني الخاص بالشركات الواقعة ضمن المناطق الحرة بدولة الإمارات العربية المتحدة. وذلك عبر التطرق لمفهوم المناطق الحرة وتناول أنواعها المختلفة، ومن ثم تم بيان كيفية تأسيس هذه الشركات. كما تم التطرق إلى الخطوات والإجراءات القانونية الواجب اتباعها في حالة تأسيس الشركات ضمن المناطق الحرة. ولقد اعتمدت الدراسة على المنهج الوصفي والاستقرائي عبر تناول مفهوم المناطق الحرة وأنواعها والنصوص التشريعية في دولة الإمارات العربية المتحدة بجانب المراسيم الأميرية ذات العلاقة، كما تم اتخاذ المناطق الحرة بإمارة عجمان كمحور تطبيقي لهذه الدراسة. وقد خلص البحث إلى العديد من النتائج أبرزها أن شركات المناطق الحرة لم ينظمها قانون الشركات التجارية العام، بل استثناها القانون من نطاق تنظيمه وأوعز ذلك إلى القوانين واللوائح الخاصة بكل إمارة على حدا. والتوصيات تضمنت مدى أهمية العمل على وضع قوانين اتحادية تمثل الأساس في تعريف المناطق الحرة وتوضيح أنواعها بشكل عام. الكلمات المفتاحية: المناطق الحرة، النظام القانوني، قانون الشركات، عجمان، القانون التجاري، الاستثمار، التراخيص. Abstract: This research touched on the features of the legal system of companies located within the free zones in the United Arab Emirates by addressing the concept of free zones and considering their different types and then explaining how to establish these companies. The legal steps and procedures to be followed in the event of establishing companies within free zones were also discussed. The study relied on the descriptive and explorational approach by addressing the concept of free zones, their types, and legislative texts in the United Arab Emirates, as well as the relevant Emiri decrees. The free zones in the Emirate of Ajman were taken as an applied focus for this study. The research concluded many results, the most important of which is that the free zone companies were not regulated by the General Commercial Companies Law, but rather the law excluded them from the scope of its regulation, and this was attributed to the laws and regulations of each emirate separately. Recommendations, including the importance of working on developing federal laws, represent the basis for defining free zones and clarifying their types in general.
