للمشروع شكلان أو صورتان: مشروع فردي او جماعي: مشروع فردي ومشروع جماعي. لم ينظم المشرع الجزائري المشروع الفردي بطريقة تشجع أصحاب المشاريع الابتكارية لإنشاء مشاريعهم مع تحديد مسؤوليتهم بالأموال المخصصة للمشروع وليس بكامل ذمته المالية، وحتى القانون الأساسي للمقاول الذاتي (القانون رقم 22-23) يؤكد ذلك رغم تسهيله انشاء المشاريع. ومن جهة أخرى، نجده قد حصر المشروع الابتكاري في المشروع الفردي فلا يمكن للمقاول إنشاء شركة ذات مسؤولية محدودة يكون هو الشريك الوحيد فيها قصد تحديد مسؤوليته. أما المؤسسة الناشئة فقد ربطها بالشركة التجارية، من دون أن يخصص لها في البداية شكلا قانونيا خاصا عند تنظيمه لطريقة الحصول على علامة مؤسسة ناشئة، لكن التشريعات المقارنة نظمت شركة المساهمة المبسطة كشكل يتناسب مع خصائص المؤسسة الناشئة وتمنحها الوجود القانوني. ليتدخل مؤخرا بموجب القانون 22-09 بإضافة شركة المساهمة البسيطة كشكل جديد حصر تأسيسها على المؤسسات الناشئة. Abstract: The project has two forms: an individual project and a group project. The Algerian legislator, did not organize the individual company in a way to encourage the bearers of innovative projects to create a company and limited the responsibility with the property allocated to the project and not with the entire heritage. The fundamental law of the auto-entrepreneur (law n° 22-23) confirms it, and facilitates business creation. On the other hand, we note that he restricted the innovative project to the physical person so that the entrepreneur cannot set up a limited liability company in which the innovator is the sole partner in order to limit his liability. As for the start-up, he attached it to the commercial company, without initially assigning it a particular legal form when organizing the procedure for obtaining the start-up label. However, comparative legislation has organized the simplified joint-stock company as a form adapted to the characteristics of the start-up and giving it a legal existence. Intervene recently within the framework of law 22-09 to adding the simple joint-stock company as a new form, limiting its constitution to emerging companies.
